This Client Service Agreement (“Agreement”) is made between:
Sky Captures Ltd, a company registered in the United Kingdom (“Service Provider”),
and
The Client (“Client”).
Together, the parties agree as follows:
“Services” means all surveying, aerial operations, data capture, processing, reporting, and related professional services provided by Sky Captures Ltd.
“Deliverables” means the final outputs provided to the Client, including but not limited to orthomosaics, 3D models, LiDAR point clouds, processed imagery, reports, drawings, and visualisations.
“Raw Data” means unprocessed imagery, sensor data, working files, and intermediate datasets.
“Policies” refers to Sky Captures Ltd’s operational, safety, data protection, and quality assurance policies, including all SOPs referenced in this Agreement.
2.1 Sky Captures Ltd shall provide the Services as described in the agreed proposal, quotation, or written instruction.
2.2 Any changes to the scope must be agreed in writing by both parties and may result in additional fees.
3.1 This Agreement commences on the date of acceptance and continues until completion of the Services, unless terminated earlier in accordance with this Agreement.
4.1 Fees shall be as set out in the quotation or proposal.
4.2 Invoices are payable within 30 days unless otherwise agreed.
4.3 Late payments may incur interest at the statutory rate.
5.1 Sky Captures Ltd shall perform all operations in accordance with:
UK aviation regulations
Site safety rules
Sky Captures Ltd’s internal safety policies and SOPs
5.2 The Client shall:
Provide safe and lawful access to the site
Notify Sky Captures Ltd of hazards, restrictions, or operational constraints
Ensure all necessary permissions (including landowner consent) are in place
5.3 Sky Captures Ltd reserves the right to postpone or cancel operations if safety or legal compliance cannot be assured.
6.1 Both parties shall comply with applicable data protection laws, including GDPR.
6.2 Sky Captures Ltd shall:
Store data securely
Restrict access to authorised personnel
Use encrypted transfer methods
Follow defined retention and deletion schedules
6.3 All Client information is confidential. Sky Captures Ltd shall not disclose Client data to third parties without written consent, except where required by law.
6.4 The Client shall treat Sky Captures Ltd’s internal documents, pricing, and methodologies as confidential.
7.1 Ownership of Deliverables
Sky Captures Ltd grants the Client a perpetual, non‑exclusive, non‑transferable licence to use the Deliverables for internal business purposes, including planning, design, construction, and asset management.
7.2 Ownership of Raw Data and Methods
Sky Captures Ltd retains ownership of:
Raw Data
Working files
Processing workflows
Templates, methods, and proprietary tools
Branding and documentation
7.3 Raw Data may be supplied to the Client upon request and may be subject to an additional fee.
7.4 The Client shall not resell, redistribute, or commercially exploit Deliverables outside the project without written permission.
8.1 Sky Captures Ltd may engage subcontractors to assist with the Services.
8.2 All subcontractors shall be bound by confidentiality, data protection, and IP obligations equivalent to those in this Agreement.
9.1 Sky Captures Ltd shall perform the Services with reasonable skill, care, and diligence.
9.2 Any errors arising from Sky Captures Ltd’s processing will be corrected at no additional cost.
9.3 The Client shall notify Sky Captures Ltd of any concerns within 14 days of receiving Deliverables.
10.1 Sky Captures Ltd maintains:
EC785/2004‑compliant drone insurance
Public liability insurance
Professional indemnity insurance
10.2 Evidence of insurance can be provided upon request.
11.1 Sky Captures Ltd’s total liability arising from this Agreement shall not exceed the total fees paid for the Services, except where prohibited by law.
11.2 Sky Captures Ltd shall not be liable for:
Indirect or consequential losses
Delays caused by weather, airspace restrictions, or site access issues
Client misuse or misinterpretation of Deliverables
12.1 The Client may cancel or reschedule with reasonable notice.
12.2 Charges may apply for:
Same‑day cancellations
Site access failures
Weather‑related delays where attendance was requested
12.3 Sky Captures Ltd may postpone operations for safety or regulatory reasons.
13.1 Sky Captures Ltd shall not use Client imagery, data, or project information for marketing without the Client’s explicit written consent.
13.2 If consent is granted, Sky Captures Ltd shall use the material responsibly and respectfully.
14.1 Either party may terminate this Agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days.
14.2 Upon termination:
The Client shall pay for all Services completed to date
Sky Captures Ltd shall deliver any completed Deliverables
Confidentiality and IP clauses shall remain in force
15.1 This Agreement is governed by the laws of England and Wales.
15.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.
By commissioning Sky Captures Ltd to undertake work, the Client acknowledges and agrees to the terms of this Agreement.
